SchoolDoc Pro License Agreement

Version 2.0 – One-Time Perpetual License

This End User License Agreement ("Agreement") is entered into between SchoolDoc Pro ("Licensor") and the educational institution ("Licensee") identified below.

1. GRANT OF LICENSE

Licensor grants Licensee a non-exclusive, non-transferable, perpetual license to use SchoolDoc Pro ("the Software") at a single school/campus location. This license is for one (1) school only. Use at multiple schools requires additional licenses.

2. LICENSE FEE

Licensee agrees to pay the one-time license fee of $497 USD upon execution of this agreement. This fee includes one year of software updates and basic email support.

3. SUPPORT AND UPDATES

• Updates: 1 year of updates included from purchase date
• Support: Email support with 24-48 hour response time
• Extended Support: Available for $197/year after first year

4. RESTRICTIONS

Licensee may NOT:

• Modify, reverse engineer, decompile, or disassemble the Software
• Resell, sublicense, rent, or distribute the Software to third parties
• Use the Software for more than one school without purchasing additional licenses
• Remove or alter any copyright notices
• Use the Software for illegal purposes or to store illegal content

5. DATA OWNERSHIP

All data entered into the Software remains the sole property of Licensee. Licensor claims no ownership of any documents, metadata, or information stored using the Software. Licensee is solely responsible for:

• Ensuring compliance with applicable laws (FERPA, GDPR, etc.)
• Maintaining backups of important data
• Managing user access within their institution

6. INTELLECTUAL PROPERTY

The Software, including all code, design, and documentation, is the intellectual property of Licensor and is protected by copyright laws. This Agreement does not transfer any ownership rights to Licensee.

7. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LICENSOR SPECIFICALLY DISCLAIMS ALL WARRANTIES, INCLUDING:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of uninterrupted or error-free operation
• Warranties regarding accuracy or reliability of results

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of data, profits, or business opportunities
• Damages exceeding the amount paid for the Software

This limitation applies even if Licensor has been advised of the possibility of such damages.

9. TERMINATION

This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if Licensee breaches any term. Upon termination, Licensee must cease all use of the Software.

10. GOVERNING LAW

This Agreement shall be governed by the laws of the United States and the State of [Your State], without regard to conflict of law principles. Any disputes shall be resolved in the courts of [Your County/State].

11. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between parties and supersedes all prior agreements. Any modifications must be in writing and signed by both parties.
